Terms of Service

These Terms of Service (“Terms”) govern your access to and use of B-Micron, LLC's websites and ordering portal (together, the “ Services”). By creating an account, placing an order, or otherwise using the Services you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract. You are responsible for keeping your sign-in email secure and for all activity that occurs through your account. Notify us promptly at info@b-micron.com if you suspect unauthorised access.

2. The Services

Through the portal you can request quotes, place orders for Standard, Promotion, and Multi-Project Wafer (MPW) products, request Custom fabrication, attach design files, review and pay invoices, and communicate with the B-Micron team about each order. Specific catalogue items, pricing, and lead times may change without notice and are accepted only when we confirm your order.

3. Orders, pricing, and payment

Prices shown in the portal are listed in U.S. dollars and exclude shipping and taxes unless explicitly stated. By submitting an order you offer to purchase at the prices shown; acceptance occurs when we mark the order accepted in the portal and / or issue a Stripe invoice.

Payment is processed by Stripe. Card payments are charged at checkout; purchase-order (PO) terms (if enabled for your account) are net 30 from invoice date unless otherwise agreed in writing. Past-due balances may accrue interest at the lower of 1.5% per month or the maximum permitted by law. We may pause fabrication or new orders while invoices are past due.

4. Taxes

You are responsible for any sales, use, value-added, or similar taxes payable on your order. Where we are required to collect sales tax, it is calculated and applied automatically at the invoice stage based on your shipping address. Customers claiming an exemption must provide a valid certificate before invoicing.

5. Shipping, delivery, and lead times

Lead times displayed in the portal are estimates, not guarantees, and depend on tool availability and inbound materials. Title and risk of loss pass to you when the order is handed to the carrier. We are not liable for delays caused by the carrier, customs, or other circumstances beyond our reasonable control.

6. Cancellations and refunds

You may cancel an unpaid order at any time through the portal. For paid orders, cancellation and refund eligibility depend on fabrication stage; orders already in mask or wafer fabrication may not be cancellable. We will refund cancelled paid orders via the original payment method when permitted. PO-paid refunds are wired manually and may take several business days.

7. Custom fabrication, designs, and IP

You retain all rights in the designs, masks, drawings, and technical materials (“Your Materials”) you upload. You grant B-Micron a limited, non-exclusive licence to use Your Materials solely to quote, fabricate, package, and ship your order, and to retain copies as needed for warranty, accounting, and reorder support.

B-Micron retains all rights in its proprietary processes, recipes, tooling know-how, and any process-level improvements we develop. You will not reverse-engineer, copy, or attempt to replicate our processes from the parts you receive.

You represent that Your Materials do not infringe any third party's rights and that you have all necessary authorisations to have them fabricated.

8. Acceptable use

You agree not to use the Services to:

  • Order parts intended for unlawful use, weapons of mass destruction, or any application prohibited by export-control or sanctions laws of the United States or other applicable jurisdictions.
  • Upload material you do not have the right to share, malicious code, or content that violates applicable law.
  • Probe, scan, scrape, or attempt to gain unauthorised access to the Services or other customers' data.
  • Impersonate any person or entity, including B-Micron staff.

9. Limited warranty and disclaimer

We warrant that parts will materially conform to the specifications confirmed in your order. Your sole remedy for a defect is, at our option, repair, replacement, or refund of the affected parts, provided you notify us in writing within 30 days of delivery and return the affected parts at our request.

Except as expressly stated above and to the maximum extent permitted by law, the Services and any parts delivered are provided “AS IS” and “AS AVAILABLE”, and B-Micron disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or trade usage.

10. Limitation of liability

To the maximum extent permitted by law, B-Micron and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any lost profits, lost data, or business interruption, arising out of or related to the Services or any order, whether based on warranty, contract, tort, or any other legal theory, even if B-Micron has been advised of the possibility of such damages.

In any event, our total cumulative liability for any claim arising out of or related to a particular order will not exceed the amounts you paid us for that order in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You will defend, indemnify, and hold harmless B-Micron and its officers, employees, and contractors from any claim, loss, or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) Your Materials or your use of the resulting parts, or (c) your violation of any applicable law or third-party right.

12. Suspension and termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, have unpaid balances, or pose a risk to us or other customers. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any dispute that the parties cannot resolve informally will be brought exclusively in the state or federal courts located in Alameda County, California, and both parties consent to the jurisdiction of those courts.

If the company prefers binding arbitration instead, this section should be rewritten by counsel before publication.

14. Changes to these Terms

We may revise these Terms from time to time. When we make material changes we will update the “Last updated” date and, where appropriate, notify you by email or in-portal notice. Your continued use of the Services after the effective date of the change constitutes acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with the Privacy Policy and any order-specific terms we agree to in writing, are the entire agreement between you and B-Micron with respect to the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
